Professionals - Terms and Conditions of Sale – Poppins

‍

1. General

‍

POPPINS ("POPPINS") operates an online portal and mobile application service ("Application") for the lending of an item or a location ("Item(s)") by individuals or businesses ("Professional Owner(s)") to end users ("User(s)").(s)") by private individuals or businesses ("Professional Owner(s)") to end users ("User(s)").Β 

‍

These General Terms and Conditions of Sale ("GTC") apply to the relationship between POPPINS and Professional Owners.

‍

By registering on the Application, the Professional Owner unreservedly accepts these GTCS as well as the POPPINS General Terms and Conditions of Use, available on the Application ("GTCU").

‍

2. The conceptΒ 

‍

Items are made available on the Application, and Users can then place an order for an Item after entering the desired date(s) and/or time(s), provided that the Item is available on those dates and/or times. Once the request has been entered by the User, it is sent to the Professional Owner, who accepts or refuses it (the "Confirmation"). Once the Confirmation has been given by the Professional Owner, the latter prepares the Item and makes it available on the agreed date and time and for the agreed duration ("Share(s)").

‍

POPPINS merely provides an online connection service (the "Service(s)") on behalf of the Professional Owner, and there is no contractual relationship between POPPINS and the User with regard to the Items. POPPINS has no responsibility with regard to the Items or the performance of the agreement between the Professional Owner and the User.

‍

3. Professional Owner MembershipΒ 

If a Professional Owner wishes to offer their Items via the Application, the Professional Owner must register on the Application and provide POPPINS with the information requested by POPPINS ("Information") and complete the onboarding process set up by POPPINS. In this context, the Professional Owner may be asked to provide the information necessary to complete POPPINS' "KYC" programme, through the payment service provider selected by POPPINS. To this end, the Professional Owner will be asked to accept the terms and conditions of sale of this service provider.Β 

The Professional Owner must regularly update the Information on the Application.

‍

The Items that the Professional Owner has made available on the Application are referred to as "Available Items".

‍

By registering on the Application, the Professional Owner authorises POPPINS, for the duration of these GTC, to:

‍

  1. Offer the Available Items for Sharing to Users of the Application;
  2. Accept Shares for Available Items requested by Users on the Application and issue a Confirmation;
  3. Process User complaints regarding Items under Poppins Warranty;
  4. Use the Professional Owner's trademarks and Professional Owner Information;
  5. Provide Poppins Warranty (as defined in the Terms of Use) to individual Users.

‍

By registering on the Application, the Professional Owner agrees to follow POPPINS' instructions necessary for the conduct or improvement of the Services provided. Furthermore, the Professional Owner confirms that it is a company duly registered with the competent national authorities, in accordance with applicable national legislation. The Professional Owner shall immediately inform POPPINS if this registration is no longer valid for any reason.

Professional Owners undertake to insure the items and property they wish to share on the Application and shall provide proof of such insurance to Poppins upon first request. Professional Owners may require Borrowers to use the insurance they offer.

By way of express derogation from the General Terms and Conditions of Use, POPPINS provides the Professional Owner with Poppins Warranty (the "POPPINS Warranty") for a period of six (6) months from the conclusion of these GTC. At the end of this period, the provision of POPPINS Warranty shall automatically cease.Β 

By providing this Poppins Warranty, which is not an insurance policy, Poppins undertakes to cover material damage caused to the Item, up to a limit of five thousand euros (€5,000). It shall only apply:

  • only in the event of refusal of coverage by the Professional Owner's and Borrower's personal insurance, upon receipt of written proof of refusal of coverage by their insurer for the material damage concerned.
  • Provided that the conditions listed in the Poppins Warranty section of the FAQ and the General Terms and Conditions of Use (section 9.1) are met and within the limits set by the latter.Β 

4. The

POPPINS lists a Professional Owner on the Application as well as all Available Items offered by the Professional Owner for Sharing by Users, provided that the Professional Owner has Items Available for Sharing on the Application. POPPINS reserves the right to modify the method and style of representation or to make adjustments based on technical circumstances.

‍

It is the responsibility of the Professional Owner to ensure that the Information published on the Application concerning the Professional Owner, the Available Items and the prices is kept up to date at all times. POPPINS is authorised to issue a Confirmation based on the Information provided by the Professional Owner on the Application.

POPPINS makes the Application available, maintains it and provides all associated technical capabilities. In addition, POPPINS ensures that the Information provided by the Professional Owner is published on the Application. POPPINS makes every effort to ensure uninterrupted availability of the Application, as far as possible. Temporary interruptions in the availability of the Application or occasional errors in its use may occur in the event of force majeure, malfunction of the equipment of Users and Professional Owners, malfunction of the Internet network of Users and Professional Owners, or maintenance operations intended to improve the Application.

5. Cooperation

The Professional Owner is responsible for fulfilling all contractual obligations towards the User and for complying with applicable legislation regarding the Available Items and consumer protection.

The Professional Owner is responsible for the manufacture, sale, purchase, storage, packaging, production, processing, labelling, delivery or handling of the Available Items. The Professional Owner shall clean, inspect, repair and prepare the Item between each User.

‍

POPPINS does not manufacture, sell, purchase, store, prepare, produce, process, brand, package, rent, deliver or handle the Available Items in any way. POPPINS declines all responsibility for:

‍

  1. The Items, including their manufacture, sale, purchase, storage, production, processing, handling, refurbishment or cleaning, delivery or handling;
  2. The performance of contractual obligations related to the supply of Available Items to the User;
  3. Compliance with applicable legislation.

‍

It is the responsibility of the Professional Owner to carry out all Sharing without delay, conscientiously, and with all due care and professional diligence, in the same way as they would for any product sold without the intermediary of the Application.

‍

The Professional Owner is responsible for providing POPPINS with the information and details it needs to comply with its obligations under these GTC and the regulations in force.

‍

POPPINS reserves the right to exclude, prohibit or suspend the Professional Owner from the Application if the Professional Owner misuses the POPPINS concept, fails to fulfil its contractual obligations in relation to Shares, Users or delivers defective Items.Β 

‍

6. SharesΒ 

The User contacts the Professional Owner via the Application. After discussing the scope and conditions of the Share via the Application, the Professional Owner sends the User a Confirmation via the Application.

‍

The User and the Professional Owner may cancel the Share in accordance with the Terms and Conditions.Β 

‍

POPPINS shall refund the amount of the Sharing price to the User within fifteen (15) days.

‍

In any other situation, POPPINS will not refund the price of the order or its Fees, unless otherwise provided for in the Terms and Conditions.

‍

In addition to this cancellation policy, the User may cancel the Share in accordance with POPPINS' Terms and Conditions, available on the Application.

7. Collection

The Available Items will be delivered by the Professional Owner to the User at the address and on the date indicated in the Confirmation ("Pick-up").Β 

POPPINS shall in no event be held liable for any delay in the Collection of a Share by the Professional Owner, any failure by the Professional Owner to collect the Share, or any failure by a User to arrive at the agreed time to collect their Share.

‍

8. Handling of complaints

POPPINS is authorised to handle all complaints concerning the Items on behalf of the Professional Owner. The Professional Owner shall provide POPPINS with any information deemed necessary by the latter.Β 

‍

If the User submits a complaint directly to the Professional Owner, the Professional Owner must inform POPPINS as soon as possible so that it can handle the complaint in accordance with these GTC. The Professional Owner shall inform the User that the complaint has been forwarded to POPPINS for handling in accordance with the GTC.

‍

If the User submits a complaint concerning Items distributed by the Professional Owner, POPPINS may collect any information concerning the Professional Owner's Items in order to process the complaint.Β 

‍

POPPINS may decide to refund part or all of the price of the Items. Where applicable, POPPINS shall inform the Professional Owner of the refund. In the event of a full refund, POPPINS shall not be entitled to any commission under the Sharing scheme and the Professional Owner shall not be entitled to any payment.

‍

For all intents and purposes, it is specified that the financial compensation that POPPINS reserves the right to make under POPPINS Warranty does not apply to Professional Owners who are signatories to these GTC.

‍

9. Prices

The prices indicated by the Professional Owner to Users through POPPINS are in the currency of the country in which the Item is located and should include all taxes. On the Application, the User will have access, prior to payment, to a description of the total amount to be paid, which consists of (i) the price offered by the Professional Owner plus (ii) the amount of POPPINS Fees.

The Professional Owner undertakes not to charge POPPINS Users prices higher than those offered on its own platform or other means of Sharing organised by the Professional Owner.Β 

This provision does not apply to one-off promotional offers or to specific conditions offered on third-party platforms.Β 

The Professional Owner retains complete freedom to set its prices on other media, subject to compliance with applicable competition and commercial practice regulations.

In any event, the Professional Owner undertakes to comply with applicable laws and regulations relating to price transparency and consumer protection.

POPPINS will charge a commission equal to fifteen per cent (15%) of the price charged by the Professional Owner to the User (the "Fees"). The Fees shall be deducted directly by POPPINS (through its payment service provider as defined in the Terms of Use) from the price paid by the User.

10. Payment

The Professional Owner authorises POPPINS SAS, which accepts this authorisation, to issue invoices in its name and on its behalf for all Item Sharing transactions carried out under the GTC.

Invoices issued by POPPINS in the name and on behalf of the Professional Owner shall be in the same form as if they had been issued by the latter, and shall include all the information required by the regulations in force.Β 

The Professional Owner may issue and provide the User with a receipt confirming the Sharing at the time of Collection. In the event that the Professional Owner prefers to provide a receipt, the Professional Owner must inform POPPINS in advance.

‍

POPPINS sends the Professional Owner a monthly invoice, subject to VAT where applicable, for an amount equal to all commissions received by POPPINS for all Shares made during the previous month. This invoice may include fees charged to POPPINS by its payment providers when processing Shares.Β 

‍

Annually, POPPINS is authorised to charge the Professional Owner administrative fees in the amount of ninety-nine euros (€99), determined by POPPINS to cover the costs associated with registering and maintaining the Professional Owner on the Application.

‍

POPPINS shall keep all invoices, payment confirmations s and credit notes from Users on the Application accessible to the Professional Owner. POPPINS may keep this data for a period of at least 5 years, or any other period decided by POPPINS, for tax and accounting purposes in accordance with applicable law.

‍

POPPINS reserves the right to adjust the amount of its commission annually. The adjustment will reflect current market conditions. The Professional Owner will be notified at least 30 days in advance of any change in the amount of the commission, at which point the Professional Owner may decide to terminate these GTC with 30 days' notice.

The Professional Owner is solely responsible for its legal obligations, including compliance with its accounting, tax and VAT obligations. POPPINS declines all responsibility in this regard. The Professional Owner retains full responsibility for its invoicing obligations and their consequences with regard to VAT. They may not invoke POPPINS' failure or delay in issuing invoices to avoid their obligation to declare the tax collected when it becomes due. Similarly, they remain liable for any VAT due, where applicable, pursuant to Article 283-3 of the French General Tax Code, when it has been invoiced in error.

‍

POPPINS may amend, modify or restructure the payment procedure for Users if it deems it necessary.

‍

11. Intellectual property

‍

The Professional Owner authorises POPPINS - for the duration of the GTC - to use the Professional Owner's trademarks (name, Professional Owner's brand, signs such as the company name, etc.) on and in connection with the Application, without any compensation. This authorisation applies regardless of the type, scope and distribution medium of the advertisements and extends to the Application, including its use in the context of online marketing and search engine optimisation. Any use of these intellectual property rights shall at all times comply with the instructions, guidelines and manuals provided by the Professional Owner to POPPINS.

‍

The Professional Owner warrants that it has full ownership of all its logos, images or other communication materials provided to POPPINS. Under no circumstances shall POPPINS be held liable for any infringement of the intellectual property rights of the materials provided by the Professional Owner.

‍

This authorisation for use applies exclusively to marketing corresponding to POPPINS' commercial purpose in accordance with these GTC.

‍

The Professional Owner may, under the same conditions as those applicable under Articles 11.1 and 11.2, use POPPINS' identification marks for marketing corresponding to the Professional Owner's commercial purpose in accordance with these GTC.

‍

12. Liability

‍

POPPINS shall not be liable for any damage resulting from or in connection with:

‍

  1. Matters for which the Professional Owner is liable in accordance with these GTC;Β 

‍

  1. Matters beyond POPPINS' control, including third-party failures or interruption of the Application's availability not attributable to POPPINS (e.g. due to unavoidable technical problems associated with the Internet connection or telecommunications or UMTS transmission systems);Β 

‍

  1. User Shares made using payment data or other contractual data obtained illegally (e.g. through credit card phishing, identity theft, etc.), and POPPINS declines all responsibility in the event of non-payment by Users;

‍

  1. The content of websites to which the Application links, including the truthfulness and accuracy of the content of linked websites and the protection of data by these websites.

‍

POPPINS shall only be liable for direct damages and in no way for indirect or consequential damages. In all cases, POPPINS' liability shall be limited to the amount invoiced to the Professional Owner who has suffered the damage over a period of three calendar months preceding the month in which the damage is discovered. This rule also applies to liability for the Items.

‍

Where POPPINS is liable in connection with any claim relating to matters excluded from its liability under these GTC, the Professional Owner shall indemnify POPPINS for any damage suffered, including reasonable legal fees.

‍

13. Term & termination

‍

POPPINS or the Professional Owner ("Party(ies)") may terminate these GTC by registered letter with acknowledgement of receipt, subject to 30 days' notice, with the termination taking effect at the end of the current month following the notice period.

‍

Any sums already paid to POPPINS by the Professional Owner shall remain the property of POPPINS.

‍

In the event of a serious breach of these GTC, the aggrieved Party may terminate the GTC with immediate effect, without prejudice to any damages to which it may be entitled.

‍

14. Confidentiality & Data Protection

‍

The Parties undertake to maintain confidentiality regarding all contractual agreements and respective information concerning them of which they are or will become aware in the course of their contractual relationship and to treat such information, regardless of its type, in accordance with the strictest rules of confidentiality. This confidentiality obligation includes, in all cases and without restriction, technical, financial, operational and commercial information, as well as any other information belonging to the Parties, in particular information relating to these GTC and the contractual documents themselves. The Parties shall ensure that all their employees and third parties appointed by them who have access to this information are subject to the same confidentiality obligation. This confidentiality obligation shall survive the expiry of the GTC. The Parties shall each be liable for any breach of this confidentiality agreement.

‍

15. Miscellaneous

‍

These GTC may be amended at any time by POPPINS with 60 days' notice.

‍

POPPINS may freely transfer and assign its rights and obligations under these GTC to any company belonging to the same group or to an outside third party without the prior authorisation of the Professional Owner.

‍

In the event of any conflict between the Terms of Use and the Terms and Conditions, the provisions of these Terms and Conditions shall prevail.

‍

16. Applicable law & jurisdiction

‍

These GTC are governed by and interpreted in accordance with French law, unless otherwise agreed between the parties.

‍

Any dispute arising from or in connection with these GTC shall be settled by the competent courts in Paris, where such a dispute cannot be settled amicably.Β 

Appendix

‍

Commitments of the Professional Owner

‍

The provisions below apply exclusively to Users who are qualified as professionals. Professional Owners are invited to refer to the Business Terms Β for all provisions concerning them.

‍

1. Combating corruption, money laundering and terrorist financing

The Professional Owner undertakes to comply with applicable anti-corruption laws and regulations, not to violate them and not to compel Poppins to violate them. These include: the French law of 9 December 2016 on anti-corruption, the European Union's anti-money laundering directive of 20 May 2015, the United States Foreign Corrupt Practices Act of 19 December 1977 and the United Kingdom Bribery Act of 8 April 2010.

The Professional Owner must comply with all prohibitions in force concerning transactions or payments to legal entities, organisations, governments or individuals appearing on national or international sanctions lists adopted by the United Nations, the United States and countries belonging to the European Union (the "Sanctions Lists").

The Professional Owner certifies that none of its shareholders, partners, officers, directors, employees or any other third party acting on its behalf in connection with the performance of this Agreement is itself a person or organisation listed on the Sanctions Lists.

The Professional Owner also undertakes to comply with the principles and rules of conduct set out at the Anti-Corruption Policy applicable to Poppins, or any other equivalent undertaking formally provided by Poppins.

The Professional Owner undertakes not to offer, pay or promise to pay, or authorise the payment of any sum of money or anything of value to a private individual or public official, political representative, candidate for public office or agent or employee of a public international organisation or their families, with the aim of directly or indirectly obtaining an undue advantage for Poppins or the Professional Owner.

The Professional Owner undertakes to take all necessary measures to ensure that its representatives, employees, subcontractors, agents and third parties acting on its behalf in connection with the contract between Poppins and the Professional Owner comply with this appendix.

‍

2. Anti-fraud policy and policy against sexual abuse and exploitation of childrenΒ 

Poppins has put in place safeguards and rules to prevent fraud and the sexual abuse and exploitation of children. The Professional Owner acknowledges and agrees to comply with the principles of the Anti-Fraud Policy and the Policy against Sexual Abuse and Exploitation of Children .

‍

3. Vigilance and social responsibility

The Parties undertake to comply with all national and international standards relating to social issues, human rights, ethics and compliance, as well as environmental issues applicable to their activities, in particular those arising from the UN Global Compact, the UDHR, the ILO and the OECD.

‍

4. Miscellaneous

The Professional Owner undertakes to notify Poppins without delay of any risk of breach of these obligations and to inform Poppins of the corrective measures put in place. In the event that the Professional Owner suspects a breach, it shall cooperate transparently with Poppins to determine whether such a breach has occurred and, if so, the associated corrective measures.

The Professional Owner undertakes to provide, at Poppins' request, for the purposes set out in this appendix, the contact details of its suppliers, subcontractors or entities involved in the manufacture of goods or the provision of services used in the context of the established commercial relationship.

If a compliance audit reveals a serious breach of the obligations set out in this appendix, Poppins reserves the right to consider such breach a material breach of the contract between Poppins and the Professional Owner, to exercise any rights or remedies available to Poppins under the contract or law, and to charge the costs of the audit to the Professional Owner. Serious breaches include acts of corruption, child labour or forced labour, harassment, discrimination or any situation that endangers the life, health or safety of workers or the protection of the environment.
